These Terms of Use ("Terms") apply when you use the 451 Research products or other platform or service (collectively, the "Services") provided by 451 Research an affiliate of S&P Global Market Intelligence, LLC and/or its affiliates ("SPGMI", "us" or "we").

Please read these Terms carefully before you use the Services. BY ACCESSING AND USING THE SERVICES, YOU AFFIRM THAT YOU HAVE READ, UNDERSTAND AND WILL COMPLY WITH THESE TERMS.

Your rights to use the Services are also governed by any of SPGMI’s agreements with its client (i.e., your employer) ("Client Agreement"). IF A PROVISION OF A CLIENT AGREEMENT CONFLICTS OR OTHERWISE IS INCONSISTENT WITH A PROVISION OF THESE TERMS, THEN THE TERM OF THE CLIENT AGREEMENT WILL PREVAIL TO THE EXTENT OF THE CONFLICT OR INCONSISTENCY.

1. Will these Terms ever change?365体育手机投注 We will provide you with advance notice of any revision to these Terms that we believe is material by sending you an email and/or, posting a notice in the Services. Your continued use of the Services after the Effective Date above constitutes your acceptance of these Terms, as amended.

3. What do I need to do to use the Services?365体育手机投注 To access the Services, you are required to register for an account using your business email and password. When you register for an account, you promise to provide us with accurate, complete and updated information.

Please do not allow anyone else to use your account credentials. You’re responsible for the security of your account credentials and any activity associated with your account through your account credentials. You are responsible for all content you upload to the Services and you will only upload content if you or your employer has all necessary rights to do so.

  • infringes or violates the intellectual property or other rights of any person or entity (including SPGMI) or crawls, scrapes, indexes or extracts web data from any part of the Services;
  • is fraudulent, deceptive or violates law; or
  • circumvents measures protecting the Services, transmits or uploads any virus, malware or similar harmful program or otherwise jeopardizes the security of the Services, SPGMI’s systems or any other person’s account.

You may close your account and stop using the Services at any time. SPGMI reserves the right to suspend or terminate your access to the Services without notice if your employer requests, if SPGMI believes you violated these Terms or if the Client Agreement that applies to your use of the Services terminates for any reason. SPGMI reserves the right to notify your employer or other users about the suspension or termination of your access to the Services.

4. What else do I need to know about the Services?

EXCEPT AS SET FORTH IN A CLIENT AGREEMENT, THE SERVICES ARE PROVIDED "AS- IS", WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR ANY OTHER WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

5. Trial Client Access

In the instance of a trial client relationship, i.e., an organization utilizing the 451 Research's material on an unpaid basis and for the explicit purposes of internal evaluation only, usage is limited to individual named users within that trial client organization. Should a trial client, at the conclusion of its trial period, choose not to become a paid client of 451 Research, then that trial client shall remove any and all materials of 451 Research residing in electronic format on that trial client's computer systems and storage devices, as well as destroying any and all materials of 451 Research existing in printed hard-copy format in the possession of any and all employees of the trial client organization. In any event, trial client’s organization may not use 451 Content for any commercial purpose. During the term of the trial client’s access trial client consents to be contacted by 451 Research’s sales representatives.

6. Forwarding and Sharing of Copyrighted Materials

Users may not redistribute, copy, forward, or circulate the research, analysis, data or other information produced by 451 Research ("451 Content"), or any part thereof, whether electronically or otherwise, without the express, written permission of 451 Research. At no time may materials produced by 451 Research be forwarded to external e-mail aliases ‚ i.e., e-mail addresses existing for the purpose of redistribution to a broader group of interested individuals. 451 RESEARCH IS NOT LIABLE FOR ANY LOSS OR DAMAGE RESULTING FROM UNAUTHORIZED USE OF A USER NAME OR PASSWORD.

7. M&A Knowledgebase

If a paid client purchases 451 Research’s M&A KnowledgeBase, the paid client may cite top line M&A data such as publicly announced M&A deal and dollar volumes, trends or statistics in any publicly available print, web or any other format if the paid client cites 451 Research’s M&A KnowledgeBase as the source of the data. However, 451 Research’s estimates of deal valuesand target company revenues are proprietary data points and paid clients and authorized users may not republish or redistribute this data in any publicly available print, web or any other format including, but not limited to, mass marketing efforts, newsletters, and reports sent to more than one third party organization. Paid clients may include 451 Research’s estimates of deal values and target company revenues as required for private and individual presentations and paid client reports if the paid client cites 451 Research’s M&A KnowledgeBase as the source of the M&A data. Paid clients and authorized users agree not to import 451 Research‚" M&A data into any commercial or non-commercial database. Paid clients and users additionally agree not to create any sort of interface designed to enable users or applications to query the database for purposes of retrieving information from it. Upon expiration or non-renewal of a Service Agreement, paid clients agree to delete purge destroy and expunge any downloaded 451 Research M&A data from any internal spreadsheet, document or other repository used to store such data.

8. Authorized Reproduction and Quoting Policies

Public reproduction or re-publication of 451 Content is forbidden and requires the express, written permission of 451 Research. Users may only quote 451 analysts or reports with the express, written permission of 451 Research and must cite 451 Research as the source of the information. Paid clients may summarize 451 content for internal distribution if the paid client cites 451 Research as the source.

These Terms are governed by and will be construed under the laws of the State of New York, without regard to the conflicts of laws provisions thereof. Any claim must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, multiple plaintiff or similar proceeding.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that these Terms shall otherwise remain in full force and effect and enforceable. These Terms and all related documentation are drafted in English and the English language version shall prevail.
